GrenCart Terms of Service
Effective Date: 1 July 2025
These Terms of Service (“Terms”) form a legally binding agreement between Celxius Ltd. (“Celxius”, “GrenCart”, “we”, “our”, “us”) and any person or entity that accesses or uses the GrenCart marketplace or software-as-a-service solution (collectively, the “Platform”). Please read them carefully; by registering an account or otherwise using the Platform you agree to be bound by these Terms and by our Privacy Policy.

2. What GrenCart Does (Elevator Pitch)
GrenCart is a Grenada-based e-commerce ecosystem that (a) gives consumers a single, convenient online marketplace for discovering, buying and receiving local products, and (b) provides vendors — primarily small Caribbean businesses — with hosted storefronts, secure payment processing, inventory and tax tools, delivery integrations and revenue analytics.
3. Eligibility & Account Creation
3.1 Consumers
You must be at least 16 years old. Required information: first and last name, country of residence, and a verified email/password, mobile number, or Google/Facebook credential.
3.2 Vendors
To open a vendor (“Business”) account you must be legally able to enter contracts and supply the registration data listed in the preamble (business name, address, owner contact, payment card, subscription plan, etc.). You represent that all information is accurate and kept up to date.
4. Marketplace Rules
4.1 Prohibited Products
The following categories are not allowed on GrenCart: weapons, ammunition, explosives, adult or pornographic material, live animals, cannabis or controlled drugs, counterfeit goods, hazardous materials, human parts, financial or professional “get-rich-quick” services, and any other item banned by Grenadian law or our policies.
4.2 Listing Standards
Each product listing must include (i) clear photos of the actual item, (ii) an accurate description, condition and specifications, (iii) available variations, and (iv) stock quantity. Vendors are solely responsible for the accuracy of listings.
4.3 Order Workflow
Cart ➜ Checkout (payment captured) ➜ Vendor confirms order ➜ Vendor fulfils order ➜ Delivery or pick-up is completed ➜ Order marked complete.
Recommended SLA: Vendors should confirm new orders within 24 hours and mark them fulfilled or provide status updates within 72 hours. GrenCart reserves the right to intervene or refund the customer if the vendor is unresponsive for more than 5 calendar days.
5. Vendor Obligations
- Maintain accurate inventory and contact details
- Honour your stated shipping/collection, return and refund policies
- Collect and display applicable taxes using the built-in tax engine
- Comply with all relevant Grenadian laws, including the Distribution and Price of Goods Act and the Customs Act
- Provide reasonable customer support and respond to dispute messages via the GrenCart dashboard within the timeframes above
- Returned-goods address will be the physical or mailing address specified in each vendor's store profile or return-policy page. GrenCart does not operate a central returns warehouse and does not accept packages on behalf of vendors.

- A 1 % payout processing fee applies each time funds are transferred to your bank.
- All charges are processed in USD via Stripe. Storefront prices may display in other currencies for convenience; exchange rates are updated in real time.
7. Refunds, Returns & Disputes
- Vendors may set their own return window; it must be displayed on the storefront and is binding once the customer checks out.
- Because returns are shipped directly to each vendor's designated address, you (the customer) are responsible for following the return instructions provided on the store's policy page. Shipping costs for returns are governed by the vendor's policy.
- Escalation ladder: Customer → Vendor → GrenCart. We may investigate and refund a customer or issue a chargeback if a vendor provides faulty goods, is non-responsive after 5 days, or otherwise breaches these Terms.
8. Acceptable Use & Prohibited Conduct
You agree not to:
- Scrape, reverse-engineer, decompile or attempt to obtain source code.
- Circumvent security or rate limits, deploy malware or conduct DDoS attacks.
- Post defamatory, hateful, obscene or violent content.
- List prohibited items (see section 4.1).
- Impersonate others, harvest personal data without consent or spam reviews.
9. Intellectual Property
- All platform software and trademarks are owned by Celxius Ltd.
- Vendors grant GrenCart a non-exclusive, royalty-free licence to display, reproduce and promote store content worldwide.
- Brand-asset use: you must obtain written permission, never alter the logo, avoid low-contrast or misleading placement, and always link to https://www.grencart.com when used online.
10. Suspension & Termination
GrenCart may suspend or terminate a consumer or vendor account with 30 days' notice, or immediately for fraud, non-payment or serious policy violations. Personal or branding data will be hidden after closure, but transactional records will be retained for audit and legal purposes.
11. Privacy
Your use of the Platform is also governed by our separate Privacy Policy, which forms part of these Terms.
12. Warranties & Disclaimers
GrenCart targets 99 % monthly platform uptime. If monthly uptime falls below that threshold for two consecutive months, our sole obligation will be to grant the affected vendor an account-credit equal to one pro-rated week of their current subscription fee. We do not guarantee uninterrupted service, future feature availability, or any particular level of sales for vendors. We are not liable for content posted by third-party vendors.
13. Limitation of Liability
To the fullest extent permitted by law, GrenCart's aggregate liability arising out of or related to these Terms will not exceed the total subscription and transaction fees you paid to GrenCart in the preceding twelve (12) months.
14. Indemnification
Vendors agree to indemnify, defend and hold harmless Celxius Ltd. and its officers from any claim, damage or expense arising out of (i) products they list or sell; (ii) breach of these Terms; or (iii) violation of any law or third-party right.
15. Governing Law & Jurisdiction
These Terms are governed by the laws of Grenada. The courts of St George's, Grenada have exclusive jurisdiction over any dispute.
16. Tax Identifiers
GrenCart currently has no VAT/GCT registration number obligation; invoices therefore show subscription fees exclusive of any value-added tax.
17. API / Developer Terms
GrenCart does not yet provide a public API. Separate developer terms will be issued when and if an API becomes available.
18. Changes to These Terms
We may update these Terms from time to time. Material changes will be emailed or notified in-app 7 days before they take effect. Continuing to use the Platform after the effective date constitutes acceptance.
